The following terms and conditions apply to the use and transactions of products and services offered through the KAGUYASU website, operated by KAGUYASU, as well as through telephone and services provided by us through agents. Please be aware that customer information will be handled in accordance with our privacy policy.

 

Article 1: Registration Application Procedure

Individuals interested in utilizing the KAGUYASU service can apply for registration by providing the required information through the new registration screen on the KAGUYASU website. Alternatively, you may complete the necessary information and submit an application form by phone or fax, or simply request the required information by phone.

Article 2: Catalogs and Other Materials

KAGUYASU , as specified by KAGUYASU, may deliver various materials, including the KAGUYASU catalog, other catalogs, and leaflets (collectively referred to as "Catalogs and Other Materials"), to customers designated by KAGUYASU, provided it is within the customer's valid registration period. Please note that we only deliver Catalogs and Other Materials to the address registered by you.

Article 3: User Guide and Related Matters

For product transactions and related information, please refer to the latest User Guide available at the following link: User Guide. Please be aware that the provisions in the User Guide are subject to reasonable changes based on societal conditions and other factors. Therefore, it is advisable to regularly review the latest User Guide before using our services.

Article 4: Types of KAGUYASU Services

Customers have the option to purchase specific products (referred to as "products") or access designated services (referred to as "services").

Product deliveries and service availability are offered within the Australia. However, please be aware that delivery services might be limited in certain remote areas, such as some mountainous regions. Additionally, there are specific areas where we cannot provide delivery for certain products or services that necessitate direct delivery.

On the KAGUYASU website, certain products and services, like customized items, may not be accessible.

For other product ordering services, it's possible that we may not be able to fulfill orders for specific requested products.

Upon applying for usage registration or registering to use the website, we will send information about discounted products, promotions, and campaigns offered by KAGUYASU, as well as products and services advertised by entities other than KAGUYASU, to the email address you provided during registration. We may utilize email or fax for promotional communication and campaigns. Please note that you can request to opt out of receiving campaign information via email or fax.

Article 5: Ordering Products and Services

Customers (excluding telephone and fax users) are required to enter the necessary information on the KAGUYASU website's interface and submit their applications for the specified types of products and services (collectively referred to as "Products and Services"). To apply for Products and Services, you will need to provide your login email address and password unless you are ordering simultaneously.

The KAGUYASU office considers orders placed on the KAGUYASU website using a login email address and password as a genuine expression of the customer's intent and valid orders. In cases of simultaneous orders, the completion of both the simultaneous application and simultaneous order is considered a valid expression of the customer's intent and constitutes a legitimate order.

Please note that a single application process may result in multiple orders, depending on the type of product or service ordered. In this context, the term "order" refers to each distinct order.

In exceptional circumstances, such as natural disasters or the unavailability of a product for an extended period, if the KAGUYASU office cannot accept your order, the delivery of the requested product may not be feasible. We hereby acknowledge in advance that we may have to cancel your order under such conditions.

When a customer places an order that includes the personal information of the customer's employees or others, the customer is responsible for notifying the individuals concerned in advance and obtaining their consent to share this personal information with the KAGUYASU office. Furthermore, the KAGUYASU office will handle all information provided by customers to the office as if it has been legally acquired by the customer in accordance with various laws, regulations, guidelines, and related standards.

Article 6: Estimated Delivery Times

The estimated delivery times for products ordered through KAGUYASU are as follows:

  • Sea Freight: 45-60 business days (excluding Saturdays, Sundays, holidays, and special holidays)
  • Air Freight: 5-15 business days(excluding Saturdays, Sundays, holidays, and special holidays)

Please be aware that we do not provide specific time-slot delivery services.

Our company may encounter difficulties in processing orders if the order details are incomplete or incorrect, or if changes to registered information have not been updated. Customers should understand that delivery may not be feasible by the scheduled date mentioned in the "Delivery Information" due to factors like transportation conditions, traffic congestion, year-end/New Year holidays, midsummer holidays, adverse weather, or other unforeseen circumstances. Kindly acknowledge this in advance and place orders for products and services with these considerations in mind.

Customers will receive separate notifications regarding the delivery date for back-ordered items, large orders, out-of-stock items, or estimated delivery times.

For back-ordered items, depending on the specific requests and circumstances, we may not be able to provide delivery dates, prices, etc., within the specified time frame.

Article 7: Delivery of Products and Services

Product delivery is considered completed once the product is placed at the customer's registered delivery address. Delivery is deemed complete when the product is deposited in the mailbox, which includes mailboxes, newspaper boxes, etc. (excluding post office boxes), located at the delivery address as specified.

In cases where the product delivery address is as registered, delivery may not be possible if the store name, company name, or other identifying information for the product delivery destination cannot be verified from the exterior of the building or nameplate.

In general, products shall be delivered within the dedicated premises of the designated building, and not outside the exclusive area of the building or at a location different from the registered one (unless it can be confirmed from the exterior of the building that the recipient's name or company name matches). When delivering products and services, we may require verification of the recipient's identity (e.g., by presenting a driver's license, passport, etc., and recording details like the address, name, registration number, etc.).

Customers have the option to request a change in the delivery address when placing an order. In such cases, please contact us through our chatbot (automatic conversation program), general reception email (support.au@kaguyasu.com), or telephone.

If it's not feasible to confirm the customer's presence at the time of product delivery, please get in touch with the delivery company engaged by our company.

By agreeing to KAGUYASU's prescribed verification items, customers can use the "Non-face-to-face pick-up service (designated delivery location)." The delivery company will confirm the designated location during delivery, and delivery of the product and services is considered completed when the product is placed at the specified location. Further details of the service conditions are provided in the confirmation items and usage guide.

For items shipped directly from the source, delivery arrangements will be determined by the shipping source, and the delivery conditions may differ from those outlined in this article. Therefore, if you request delivery under the conditions described in Paragraph 1 or the preceding paragraph, additional shipping charges may be applicable.

Article 8: Consumption Tax, Shipping Charges, etc.

Unless otherwise specified, the prices displayed on the KAGUYASU website, including products listed in catalogs, and shipping charges, do not include consumption tax. The applicable amount of consumption tax will be added to the estimate (invoice).

Customers will be responsible for paying shipping charges in the following situations:

(1) When utilizing the assembly and installation service, customers are required to separately cover the assembly/installation fees indicated on the KAGUYASU website or in catalogs for each product.

(2) For each large item, customers must pay the special shipping fee indicated on the KAGUYASU website or in catalogs. For specific details, please refer to the price guide.

Article 9: Payment

Payment Terms and Methods: Payment terms for products and shipping charges are thoughtfully detailed below. Customers have the flexibility to select their preferred payment method from the following options:

1.1 Credit Card Payment: We offer the convenience of credit card payments. Please note that billing deadlines and withdrawal dates for credit card payments may vary based on the policies of your card company. We accept major credit cards, including:

- American Express

- Diners Club
- Discover

Ensuring Secure Credit Card Use:

In our unwavering commitment to safeguard against unauthorized credit card use, we kindly request your consent to the following security measures when using a corporate card:

1.2 Sharing of Customer Information: KAGUYASU may share customer information, encompassing data submitted under Articles 2 and 3 (including updates) and information provided during product purchases, collectively referred to as "customer information." This data may be shared with the credit card company you have a contract with, known as the "contract company."

1.2.2 Transmission to the Issuing Company: The contract company may transmit the customer information provided by KAGUYASU to the credit card issuing company, referred to as the "issuing company."

1.2.3 Verification and Reporting: The contract company will verify the customer information provided by KAGUYASU against the customer data it holds. Subsequently, the contract company will report the results back to KAGUYASU.

1.2.4 Response from the Issuing Company: The issuing company will cross-reference the customer information provided by the contract company with the customer data it holds. After this verification, the issuing company will respond to the contract company with the results, and the content of the response is also included in the contract. The company is obligated to relay this response to KAGUYASU .

Contact and Support:

KAGUYASU maintains the right to contact the individual responsible for orders or the customer's employees to address inquiries related to corporate card payments and provide necessary support regarding corporate card payments.

Change of Payment Terms: If you wish to modify the payment terms as outlined in the preceding section, please reach out to us through our chatbot, general reception email (support.au@kaguyasu.com), telephone, or fax. Please be aware that changes to payment terms may take several days to be applied.

Payment Timeline: Payment for products, shipping charges, and more must be completed within one month, as indicated on the estimate (invoice). Once your payment is confirmed, please contact us through our chatbot, general reception email (support.au@kaguyasu.com), telephone, or fax. Upon verification of your payment, we will initiate the shipping process. However, specific regulations, such as those for assembly and installation services, will take precedence when applicable.

Article 10: Refusal to Receive Products, etc.

If a customer declines the delivery of a product or if the product cannot be delivered to the designated delivery address due to customer-related circumstances, please contact us through our chatbot (Live Chat Support Program), general reception email (support.au@kaguyasu.com), or by phone or fax. In such cases, all charges related to product storage, re-delivery, and any other associated costs will be governed by the terms and conditions of the delivery company contracted by our company.

If a customer fails to collect the product within the specified time frame as mentioned in the preceding paragraph, it will be considered a cancellation of the sales contract by the customer. In this event, KAGUYASU will be released from its obligation to deliver the products, etc. Additionally, apart from the storage fee referenced in the prior paragraph, the customer may incur a penalty charge equivalent to the value of the products, etc.

Article 11: Damages and Disclaimer

In cases where the delivery of a product is delayed or rendered impossible due to circumstances beyond our control, such as natural disasters, changes in laws and regulations, acts of terrorism, significant traffic restrictions, suspension of public services, traffic accidents, actions taken under public authority, transportation incidents, labor disputes, subcontractor business suspensions, or other factors affecting KAGUYASU and its agents, we will promptly inform the customer. However, even if customers incur damages as a result of such circumstances, KAGUYASU and its agents will not be liable for compensation.

If a customer sustains personal injury or property damage due to negligence on the part of the delivery person or the delivery company during product delivery, KAGUYASU will compensate the customer for the actual damages that would typically result from the negligent act. Please note that customers cannot directly claim compensation for damages from the delivery company. KAGUYASU may act as the delivery company and compensate the customer.

If a product ordered by the customer is damaged during shipping or delivery, KAGUYASU  will either re-deliver a perfect product to the customer's destination, or the customer can choose to cancel the order. In the latter case, the customer will not be charged for the product, or the payment will be refunded later.

With the exception of Paragraph 2, KAGUYASU's liability for damages resulting from negligence on the part of KAGUYASU or the delivery company shall be limited to the actual damages that would typically arise from the negligent act, and in any case, the maximum liability will be the price of the products ordered (including consumption tax).

In accordance with Article 7, Paragraph 6, KAGUYASU shall not be held responsible for any claims by the customer in any way.

Products sent by customers to KAGUYASU for investigation of defects in delivered products may contain data and information (including electromagnetic data and information) related to customers or third parties. Even in the event of unintentional data deletion or data/information loss during the investigation, as long as this is not the result of intentional or gross negligence on the part of KAGUYASU or the manufacturer/import agent conducting the investigation, KAGUYASU, manufacturers, import agents, etc., will not be held responsible in any way. Customers are responsible for backing up their data and information, providing the data and information to KAGUYASU, and ensuring there are no third-party complaints related to the investigation before sending products to KAGUYASU.

Article 12: Disclaimer on the Internet

When customers utilize the KAGUYASUwebsite to access information or avail services, they must adhere to these Terms and the specific terms outlined for each service, while also complying with their legal obligations. This is done at their own risk.

While the KAGUYASUwebsite strives to enhance the quality of information and services, it does not guarantee the safety, accuracy, reliability, usefulness, compatibility, or other characteristics of the services. The website does not guarantee the purpose, timeliness, legality, morality, performance, results, absence of computer virus infection, or the correction of any defects or bugs in the provided software.

KAGUYASU will not be liable for any consequential, incidental, indirect, or individual damages arising from the use of third-party software posted on the KAGUYASU website. Furthermore, any items obtained by downloading or other means through the services of the KAGUYASU website, including downloads, are done at the customer's own risk.

The KAGUYASU website may contain links to other websites or resources, and third parties may also provide links to other websites or resources. However, KAGUYASU does not have control over such websites or resources and is not responsible for their availability. Moreover, KAGUYASU is not responsible for the content, advertisements, products, services, etc., offered on such websites or resources. Therefore, KAGUYASU will not be liable for any damages, whether direct or indirect, arising from or related to such content, advertisements, products, services, etc.

While KAGUYASU takes appropriate security measures, such as encryption, when customers input personal information, it should be noted that even in such cases, the risk of information leakage cannot be completely eliminated.

KAGUYASU will not be held responsible for orders that do not arrive due to internet issues, email transmission failures, or any related damages.

KAGUYASU disclaims any responsibility for any damage that may result from using the KAGUYASU website in a manner other than its intended purpose.

KAGUYASU shall not be held responsible for any damage caused by failures or malfunctions in the systems of credit card companies, payment processing companies, or other third parties linked to the KAGUYASU website.

Article 13: Suspension of Use of KAGUYASU Website

KAGUYASU may temporarily suspend the use of the KAGUYASU website without prior notice to the customer if any of the following reasons apply. KAGUYASU will not be responsible for any compensation even if the customer incurs damages as a result of such suspension:

  1. When there is a malfunction of terminal equipment at the KAGUYASU office or there is an urgent need to perform maintenance.

  2. In cases of interruptions or malfunctions in the online system due to natural disasters, power outages, or similar events, as well as line failures of telecommunications carriers, or disruptions or malfunctions in payment-related systems of credit card companies or payment processing companies.

  3. Additionally, when it becomes necessary to suspend or cease the operation of the KAGUYASU website due to unavoidable operational, management, or technical reasons.

Article 14: Cancellation and Changes after Ordering Products, etc.

Order Placement and Product Customization:

  • When a customer requests a refund after placing an order but before the product undergoes customization, a cancellation fee of 10% of the total payment amount will be applied. This fee accounts for the initial processing and preparation costs.

Product Manufacture and In-House Warehousing (Pre-Shipment):

  • For returns requested after the product has been manufactured and stored in our in-house warehouse, but before it has been shipped overseas, a restocking fee of 20% of the total payment amount will be deducted. This fee covers the costs associated with warehousing and product handling.

Product Shipped Overseas, Arrived at or Not Yet Arrived at the Australian Warehouse (Pre-Delivery):

  • If the product has been shipped overseas and is either in transit to or awaiting arrival at the Australian warehouse, but has not yet been delivered to the customer, a fee of 50% of the total payment amount will be deducted upon refund. This fee is to compensate for the significant shipping and logistics expenses incurred.

Product in Australian Warehouse and Already Dispatched:

  • In situations where the product has arrived at the Australian warehouse and has been dispatched to the customer, a refund request will result in a deduction of 70% to 80% from the total payment amount. The specific deduction percentage depends on the individual return circumstances and covers the costs of shipping, handling, and restocking.

Article 15: Return And Refund

Returns:

Kaguyasu's return policy facilitates returns and exchanges within 60 to 90 days after order placement. To be eligible for a return, the following criteria must be met:

  • The item should be in its original, unaltered condition.
  • It must be unused and returned in the original packaging.
  • The item should be free from wear, stains, or damage.

Please note that custom or personalized office furniture items may not be eligible for return or exchange. In the case of minor damages, such as to the finish of a desk or chair, KAGUYASU provides repair kits and offers guidance for minor repairs. However, such minor damages do not qualify for a return. To initiate a return, contact our customer service with your order details and reason for return, follow the provided process, and await furniture inspection upon return. Refunds are issued through the original payment method once the return is approved.

Refunds:

The refund policy at KAGUYASU varies depending on the order processing stage:

  • For orders canceled before customization: A fee equivalent to 10% of the total payment amount is deducted.
  • For returns post-manufacture and pre-overseas shipment: A 20% fee is deducted.
  • If the product has been shipped overseas but not yet delivered: A 50% fee is deducted.
  • For products in the Australian warehouse and dispatched: A deduction of 70% to 80% of the total payment amount, depending on the specific circumstances.

The refund method aligns with the original payment method. For bank transfers or prepayments, the refund is processed to the customer's bank account. For credit card payments, the bill is canceled if the billing deadline hasn't passed, or the refund is issued in the following month if the deadline has passed. The refund process typically takes up to 35 business days. Please note that customers are responsible for any cash-on-delivery fees and transfer fees related to the refund.

Article 16: Copyright, etc.

The copyright of the design of the KAGUYASUwebsite, the screens displaying product information, and related content is the property of KAGUYASU. Additionally, the copyrights and other intellectual property rights of products, materials, technical information, and other content posted on the KAGUYASU website are owned by KAGUYASU or the manufacturers who have granted permission for their publication.

Customers are expressly prohibited from copying, transmitting, mailing, or providing any information obtained through the use of the KAGUYASU website (including image data) to any third party without obtaining prior written consent from KAGUYASU.

Article 17: Agreed Jurisdiction Court

Any disputes arising in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the Australia District Court of first instance.

Article 18: Revision of Prices, Specifications, etc.

Customers acknowledge in advance that product prices, specifications, service content, and other details may change or be discontinued without prior notice, even during the validity period of the catalog or related materials.

Article 19: Approval of Revision of Terms and Conditions, etc.

Unless otherwise stipulated in these Terms or the terms of individual services, in the event of any revisions to the Terms, the updated terms will be published on the KAGUYASU website, and they will come into effect once the customer agrees to them.

These Terms may be revised even during the validity period of catalogs and related materials. Fax users are advised to review the latest terms and conditions each time they place an order.

Article 20: Special Provisions Regarding Assembly and Installation Services

In addition to the provisions outlined in Articles 1 to 26, specific terms are established for assembly and installation services, as follows:

Assembly and installation services are services that are ordered simultaneously with a product.

Product delivery in conjunction with assembly and installation services entails the following details:

(1) The delivery date corresponds to the information provided on the KAGUYASU website.

(2) Additional costs may be incurred in the following circumstances: when delivery involves stairs, requires curing during delivery, necessitates re-delivery or additional work due to challenging delivery routes or limited assembly space, or when there is a request for expedited completion. The original completion date may also be affected in such cases. If delivery is not feasible due to the current conditions, the order may be subject to cancellation, and the customer may be responsible for a cancellation fee equivalent to the actual incurred costs.

(3) Due to traffic conditions, it may not be possible to deliver the order on the requested delivery date.

(4) Requests for furniture moving or collection of unwanted items are not accepted. Additionally, the return or collection of packaging materials for general products is not available.

(5) In areas with limited delivery days, the delivery date will be adjusted in advance.

(6) If the customer is not present on the day of product delivery, they should contact the delivery company they have commissioned once more.

Details concerning billing for assembly and installation costs will be provided by the company contracted by us.

Even if a purchased product is returnable, the price of the service (assembly fee/installation fee) associated with the product's purchase cannot be refunded.

Article 21: Special provisions regarding customization services

In addition to the provisions detailed in Articles 1 to 27, the following special provisions apply to customization services. When utilizing individual customization services ("customization services"), the orders for each customized product listed on the order screen (including order forms) of each customization service and the contents of the notes for each customization service ("customization service notes") are also applicable. In the event of any discrepancy between the provisions of this article and the customization service notes, the provisions of the customization service notes shall take precedence and apply, unless otherwise specified in this article.

For products eligible for repeat orders, KAGUYASU will provide data such as various versions and logo marks submitted by customers (referred to as "submitted data") within the specified period specified in the notes for each customization service. KAGUYASU will also store the version data created based on the customer's order (referred to as "edition data") for a period specified by internal rules. However, KAGUYASU is not responsible for any loss or damage to the submitted data or version data during storage. Furthermore, regardless of the reason, KAGUYASU cannot return submitted data or provide version data to customers.

Copyright of the submitted data belongs to the customer (or the original rights holder in the case of reproduction or reuse). The customer agrees to allow KAGUYASU to use the submitted data (including but not limited to copying, processing, and sublicensing use to subcontractors, etc.) for the purpose of creating ordered products and improving products and services, without any charges.

Copyright of the version data belongs to KAGUYASU or a third party with legitimate authority based on the contract with KAGUYASU.

If an order contains any of the following items (or there is a risk of it), KAGUYASU may refuse the order. However, KAGUYASU is not obligated to confirm that the contents of the order do not fall under any of the following items, and KAGUYASU is not responsible for any consequences that may arise from accepting the order:

(1) Images, illustrations, logo marks, etc. that violate laws, ordinances, and public order and morals.

(2) Intellectual property including copyrighted works such as images, illustrations, logo marks, etc. and trademarks for which the customer does not have legitimate usage rights (regardless of whether or not they are registered with the Japan Patent Office).

(3) The method or mode of use of images, illustrations, logo marks, etc. specified by the customer infringes the rights of third parties.

(4) Images and illustrations that infringe on portrait rights and privacy.

(5) Images and illustrations of buildings and office works of art that are subject to copyright.

(6) Banknotes, coins, securities, national bonds, local bonds, stamps, securities, unused postage stamps, postcards, official documents, passports, various certificates, etc.

The customer shall supply KAGUYASU with the trade name, portrait, copyright, and all other rights associated with the submitted data and other printing information, including the printed content of the address printing service, with the necessary licenses. You confirm that you have the appropriate rights to provide this data. KAGUYASU shall not be held liable for any disputes, objections, or issues, including conflicts between customers and third parties, arising from or in connection with the submission of data and other printing information to KAGUYASU.

For customization services that have a preview function for order details, the image displayed by the preview function may differ depending on the customer's computer environment, the resolution of the image provided, printing technology, or production technology. It may be different.

The customer shall check the delivered product within 7 days after the delivery date and promptly notify KAGUYASU if there is a problem with the product, such as defectiveness or dirt.

KAGUYASU will retain the address data (referred to as "address data") provided by the customer for the address printing service for a period of two years from the customer's last update, exercising the care of a diligent administrator. We will not assume responsibility in the event of address data loss due to terminal equipment or system failures occurring during the storage period. Furthermore, address data cannot be returned for any reason. KAGUYASU will not entertain requests for deletion from individual individuals or corporations included in the address data, and we will not be held liable for such requests.

Definition and Collection of Personal Information Related to Customer Information, etc.

  1. Definitions of Terms in this Privacy Policy

a) "Customer Information": Information related to corporate customers, organizations, business establishments, and individual business owners (collectively referred to as "customers") provided for the purpose of using our company's "KAGUYASU service" for businesses. This information includes details such as company name, department name, office name, manager's name, contact person's name, internal user name, email address, postal code, location, telephone number, facsimile number, industry type, number of employees, payment account, as well as media content such as photos and videos.

b) "Personal Information of Customer Information": Within customer information, personal information, as defined by the "Act on the Protection of Personal Information" (referred to as the "Act"), refers to data that can identify a specific individual.

c) "Other Personal Information": We receive inquiries, requests for materials, and applications for various recruitment programs and sweepstakes from various stakeholders, including business partners, KAGUYASU agents, shareholders, corporations, and individuals. Within the information provided, personal information, as defined by the Personal Information Protection Act, refers to data that can identify a particular individual.

d) "Personal Information": This term encompasses "Customer's personal information" and "Other personal information."

(2) Customers will be required to provide customer information when registering to use our KAGUYASU service.

(3) Our company will use personal information for the purposes described in this Privacy Policy. We are committed to using and processing personal information strictly within the bounds of the law. The purposes of using this information include supporting customers in utilizing our services, facilitating communication with business partners and other stakeholders, and ensuring the security and privacy of personal information. We will implement appropriate security measures to prevent unauthorized access, disclosure, or misuse of personal information. We will also provide customers with means to access and manage their personal information as necessary.

 

  1. Purpose of use of customer information and personal information

(1) Our company utilizes customer information and customer personal information for the following purposes:
